By accessing, using, or subscribing to Sunday's recruitment marketplace platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and Sunday ("Company," "we," "us," or "our").

You represent and warrant that you have the legal capacity to enter into these Terms and that you are at least 18 years old. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

Sunday provides a cloud-based recruitment marketplace platform that connects employers, recruitment agencies, staff augmentation companies, and job candidates. Our Service includes, but is not limited to:

• Job posting and management tools
• AI-powered candidate matching and screening
• Assessment and evaluation tools
• Recruitment process management
• Payment processing and invoicing
• Analytics and reporting features
• API access and integrations

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

3. User Accounts and Registration

To access certain features of the Service, you must create an account. You are responsible for:

• Providing accurate, current, and complete information during registration
• Maintaining the security and confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use or security breaches
• Ensuring your account information remains accurate and up-to-date

You may not share your account credentials with third parties or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Payment Terms and Billing

Service Fees: Our fee structure varies by service type and usage volume:

• FTE Placements: 8.33% (Basic), 12% (Top 30% candidates), 20% (Top 1% candidates)
• Contract Staffing: 25% of margin charged to clients
• Partner Fees: 10% of overall payout (reduces to 5% with volume)
• Subscription Plans: Monthly/annual fees as specified in your plan

Billing: Fees are charged upon successful service completion or as specified in your subscription plan. All fees are non-refundable except as expressly stated in our Refund Policy.

Payment Methods: We accept major credit cards, bank transfers, and other payment methods as specified. You authorize us to charge your payment method for all fees incurred.

5. Acceptable Use and Prohibited Activities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Violate any applicable laws, regulations, or third-party rights
• Infringe upon intellectual property rights or proprietary information
• Attempt to gain unauthorized access to the Service or other accounts
• Use the Service for spam, phishing, or other malicious activities
• Reverse engineer, decompile, or attempt to extract source code
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without authorization
• Share false, misleading, or fraudulent information

User Content: You retain ownership of content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with providing the Service.

License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes, subject to these Terms.

7. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability: IN NO EVENT SHALL SUNDAY LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Maximum Liability: OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sunday and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights
• Any content you submit or share through the Service

11. Termination and Suspension

Termination by You: You may terminate your account at any time by contacting our support team or using the account deletion feature in your settings.

Termination by Us: We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent or illegal activities
• Non-payment of fees
• Extended periods of inactivity
• At our sole discretion for any reason

Effect of Termination: Upon termination, your right to use the Service ceases immediately, and we may delete your account and data in accordance with our data retention policies.
